Top 7 Duties of a Company Secretary

A company secretary has to perform many duties. In fact, high end jobs are there for them, paying lucrative sum of money and alluring perks. To become CS, a person has to pass the Company Secretary course. In India, this course is conducted by ICSI or The Institute of Company Secretaries of India. A person who has qualified this course properly and completed the professional training should get highly responsible jobs. Various duties need to be performed by them. Some of these aspects duties and responsibilities are noted below:

1.    A CS has to attend a meeting and take minutes properly so that The CEO or Managing Director of the company can get the entire picture of the meeting by going through the minute. When we say meeting, it should be noted that it would mean a meeting of shareholders and directors. Many may believe that a CS needs to attend operational meetings and take minute. But this is not the case. CS is an important position and a high end one too. Thus, his attendance and taking minute of an operational meeting is not required.

2.    Another important work involves maintaining and keeping statutory books as well as records. These record books involve share register, register book, Minutes book, and many more.

3.    All necessary returns should be properly filed with SSM. Examples of SSMs are forms, annual return, and many more.

4.    CS is empowered by the board of directors to issue meeting notices to shareholders.

5.    The entire process of transferring recordings and documentations of shares is done by a Company Secretary.

6.    The company seal needs to be kept in safe custody. A CS ensures the same.

7.    In many important matters like banking, certification of documents along with classified company documents should be countersigned.
